Introduction

Definitions
a) "Elime Solutions," "we," "us," or "our" refers to Elime Solutions.
b) "Software" refers to the software solutions and any related documentation provided by Elime Solutions.
c) "User" refers to any individual or entity accessing or using our software solutions and services.
d) "Client" refers to the person or entity that has entered into a separate agreement with Elime Solutions to access and use our software solutions and services.
License
a) Subject to these terms and conditions, we grant the User a limited, non-exclusive, non-transferable, revocable license to use our Software for their internal business purposes during the term of their agreement with Elime Solutions.
Intellectual Property
a) All intellectual property rights related to the Software, including but not limited to copyright, trademarks, patents, and trade secrets, are the property of Elime Solutions or its licensors. The User acknowledges and agrees that they do not acquire any ownership rights in the Software.
User Obligations
a) The User agrees to use the Software in compliance with all applicable laws and regulations.
b) The User shall not reverse engineer, decompile, modify, distribute, or create derivative works based on the Software without the prior written consent of Elime Solutions.
c) The User shall not use the Software to engage in any unlawful or unauthorized activities, including but not limited to hacking, spreading malware, or infringing intellectual property rights.
Limitation of Liability
a) Elime Solutions shall not be liable for any indirect, incidental, consequential, or punitive damages arising out of or in connection with the use of the Software or these terms and conditions.
b) Elime Solutions' total liability for any claims arising out of or relating to these terms and conditions or the Software, whether in contract, tort, or otherwise, shall be limited to the fees paid by the Client to Elime Solutions for the Software services in the six (6) months preceding the event giving rise to the claim
Termination
a) Elime Solutions may terminate the User's access to the Software and services immediately and without prior notice if the User breaches these terms and conditions.
b) Upon termination, the User shall cease all use of the Software, and all provisions of these terms and conditions that are intended to survive termination shall continue to apply.
Governing Law and Jurisdiction
a) These terms and conditions shall be governed by and construed in accordance with the laws of South Africa.
b) Any disputes arising out of or in connection with these terms and conditions shall be subject to the exclusive jurisdiction of the courts of South Africa.
Amendments
